Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between you (“you” or “User”) and Instaviser, Inc. dba Turazo (“Turazo,” “we,” “us,” or “our”), a Delaware corporation with a business address at 181 2nd Street, San Francisco, California, 94105.

By accessing or using Turazo’s Software and Services, you agree to these Terms. If you do not agree, do not use the Service.

Customer Program Terms

You may participate in Turazo through a program offered by an organization that licenses Turazo (“Customer”). Such programs may be governed by additional terms, rules, or policies provided by that Customer (“Customer Terms”), which will be made available from the Customer’s Turazo program website.

Customer Terms apply only to your participation in that specific program. In the event of a conflict:

• Customer Terms control with respect to program-specific rules, requirements, or benefits.
• These Terms control with respect to the Turazo platform, software, services, and all legal and contractual provisions governing your use of Turazo generally.

By participating in a Customer’s program, you agree to any applicable Customer Terms.

1. The Service

Turazo provides a cloud-based platform that enables organizations and their participants to connect through AI-matched one-on-one conversations, including tools for introductions, scheduling, messaging, and engagement tracking (the “Service”).

These Terms apply to individual users. Organizations that license Turazo are governed by separate agreements.

2. Eligibility

You must be at least 18 years old to use the Service unless superseded by Customer Program Terms. By using Turazo, you represent that you meet this requirement and have the legal capacity to agree to these Terms.

3. Your Account

You are responsible for:

• keeping your login credentials secure
• all activity under your account
• ensuring your information is accurate

You may request account deletion at any time by emailing support@turazo.com. We may retain backup or archival copies of your data for up to 30 days after deletion.

4. User Content

You may provide information, profiles, messages, or other materials (“User Content”).

You grant Turazo a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, store, reproduce, modify, display, distribute, and create derivative works from your User Content for purposes of:

• operating the Service
• improving the Service
• analytics and research
• marketing and promotional use

You represent that you have all rights necessary to grant this license.

5. Acceptable Use

You agree not to:

• harass, threaten, or harm others
• impersonate any person or entity
• use the Service for unlawful purposes
• scrape, crawl, or harvest data without permission
• reverse engineer or interfere with the platform
• upload malware or harmful code
• attempt unauthorized access
• use the Service to build a competing product
• train AI or machine learning systems on platform data
• record conversations without consent
• share another user’s contact information without their permission
• misrepresent your identity or affiliation
• violate any law or regulation

We may investigate and take action for violations.

6. Interactions With Others

Turazo facilitates introductions but does not control or endorse users.

You interact with others at your own risk. Turazo is not responsible for:

• user conduct
• statements made by others
• offline interactions
• outcomes of conversations

7. Suspension and Termination

We may suspend or terminate your access at our sole discretion, including if:

• you violate these Terms
• your use poses risk to others or the platform
• required by law

We may do so with or without notice.

‍

8. Beta or Experimental Features

We may release preview or experimental features. These may be unstable, incomplete, or discontinued at any time. Use them at your own risk.

By using the Service, you agree to that policy.

10. Limitation of Liability

To the fullest extent allowed by law:

Turazo’s total liability to you for any claim is limited to $100. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost opportunities or data.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Turazo and its officers, employees, and partners from any claims, damages, or expenses arising from:

• your use of the Service
• your User Content
• your violation of these Terms
• your violation of law or third-party rights

12. Arbitration and Class Action Waiver

Please read this section carefully. It affects your rights.

Mandatory Arbitration

Any dispute relating to these Terms or the Service will be resolved through binding arbitration, not court, except where prohibited by law or where claims may be brought in small claims court.

Arbitration will be conducted:

• in San Francisco, California
• under the rules of the American Arbitration Association (AAA)

Small Claims Option

Either you or Turazo may bring an individual claim in small claims court instead of arbitration if the claim qualifies.

Class Action Waiver

You agree to resolve disputes only on an individual basis. You may not bring claims as part of a class, collective, or representative action.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-laws principles.

14. Export Compliance

You may not use the Service in violation of U.S. export laws or sanctions. You represent that you are not located in a prohibited jurisdiction and are not on any restricted party list.

15. Force Majeure

Turazo is not responsible for failure or delay caused by events beyond our reasonable control, including outages, natural disasters, war, terrorism, labor disputes, or infrastructure failures.

16. Changes to the Terms

We may modify these Terms from time to time. When we do, we will post the updated version on our website and update the effective date. Changes become effective when posted. Your continued use of the Service after changes are posted means you accept the revised Terms.

17. Intellectual Property

The Service, including software, design, text, graphics, and trademarks, is owned by Turazo or its licensors and protected by law. You receive a limited, non-exclusive, non-transferable license to use the Service for personal use only.

18. General Terms

• These Terms are the entire agreement between you and Turazo.
• If any provision is unenforceable, the rest remain valid.
• Our failure to enforce a provision is not a waiver.
• You may not assign your rights without our consent.
• We may assign our rights freely.
